WHOLESALE TERMS AND CONDITIONS (B2B & B2C) AND START-UP PREMIUM PROGRAM – PREMIUM STOCK WHOLESALE
1. Legal Status, Nature of Transactions, and Absolute No-Return Policy (B2B)
Wholesale and Professional Trade Only
All transactions concluded on the online platform and at the brick-and-mortar warehouse of Premium Stock Wholesale are strictly commercial (Business-to-Business). The parties to the contract are exclusively business entities (entrepreneurs). The platform does not operate as a traditional retail store. By logging in, creating an account, or placing an order, the Buyer automatically and unconditionally accepts the provisions of these Terms and Conditions.
All transactions concluded on the online platform and at the brick-and-mortar warehouse of Premium Stock Wholesale are strictly commercial (Business-to-Business). The parties to the contract are exclusively business entities (entrepreneurs). The platform does not operate as a traditional retail store. By logging in, creating an account, or placing an order, the Buyer automatically and unconditionally accepts the provisions of these Terms and Conditions.
Complete Exclusion of Consumer Rights for Companies
When purchasing as a business entity (invoiced via VAT invoice, proforma invoice, or by providing company registration data), the Buyer does not hold consumer status, nor the status of a sole trader with consumer privileges. Consequently, within B2B wholesale trade, the EU or Polish statutory right to return goods within 14 days without giving a reason is absolutely excluded. Regulations regarding distance consumer purchases (including Article 38a of the Polish Consumer Rights Act) do not apply.

In accordance with the principle of freedom of contract in professional trade (Civil Code) and the specific nature of stock clothing and mix lot or Micro-Box trading, all transactions are final and irrevocable. Purchased goods are not subject to return, cancellation, withdrawal, or exchange under any circumstances. The wholesale warehouse does not accept returns of unsold merchandise from the Customer.

The restriction on order cancellation or product returns becomes unconditional and immediate the moment the goods leave the logistics warehouse of Premium Stock Wholesale. This moment is defined as the physical handover of the goods to the Buyer on-site or the time of handing over the package or pallet to the courier company, carrier, or freight forwarder. The risk of accidental loss, damage, or depletion of the goods passes to the Buyer at the moment the shipment is handed over to the courier or carrier.

2. Product Classification and Legal Interpretation (Categories A, B, C)
The offered apparel, footwear, and accessory lots constitute specific clearance stock derived from overstocks, end-of-series, and official liquidations of collections from the most respected global e-commerce platforms, including but not limited to Farfetch, Mytheresa, Yoox, Lyst, Matchesfashion, Veepee, and Privalia. Before making a purchase, the Buyer selects and accepts the specifications of the given product grade, acknowledging the intrinsic nature of stock, outlet, or overstock wholesale trade.
Category A (Grade 1 / New)
Merchandise that is brand new in the vast majority, free of defects, and retaining a full set of paper or internal tags. The Seller explicitly declares that a natural, estimated logistical margin for minor faults, micro-damages, missing paper tags, or minimal smudges within up to 5% of the total lot volume may occur. This margin arises directly from mass-scale international outlet logistics and does not constitute a valid ground for any financial claims or returns.

Merchandise originating from end-of-series, showroom displays, or customer returns. It may feature minor, easily rectifiable signs of handling, superficial smudges, warehouse odor, missing paper tags, or slight tailoring defects. These goods may require minor cleaning, refreshing, or washing prior to retail resale.

Merchandise carrying the highest level of commercial risk, where up to 100% of the lot content may present explicit technical defects, severe damage, stains, tears, heavy signs of usage, missing components (for example buttons, zippers), or missing tags. These goods are sold as damaged, incomplete, or defective on an "as is" basis (in the condition in which it is found), which is directly reflected in their extremely low wholesale price.

3. Start-Up Premium Program – Distance and On-Site Purchases (B2C)
Operating Rules of the Program
The Start-Up Premium program is a specialized zone dedicated to natural persons (consumers without a registered business) and micro-boutiques starting their business, who voluntarily decide to purchase trial lots from 5 pieces or weight-based packages from 9 kg for the purpose of personal, profit-oriented resale on platforms such as Vinted, Allegro, OLX, eBay, Depop, Wallapop, Kleinanzeigen, Bazos, or Vestiaire Collective.
The Start-Up Premium program is a specialized zone dedicated to natural persons (consumers without a registered business) and micro-boutiques starting their business, who voluntarily decide to purchase trial lots from 5 pieces or weight-based packages from 9 kg for the purpose of personal, profit-oriented resale on platforms such as Vinted, Allegro, OLX, eBay, Depop, Wallapop, Kleinanzeigen, Bazos, or Vestiaire Collective.

The offered mix lots or Micro-Boxes are compiled as non-prefabricated items, prepared upon special request according to individualized criteria and the platform's technical specifications (each package, bag, or box forms a unique, sealed, and non-replicable composition of brands, sizes, and models). Therefore, pursuant to Article 38(1)(3) of the Polish Consumer Rights Act, the Buyer is not entitled to withdraw from the contract or return goods purchased at a distance.
The offered mix lots or Micro-Boxes are compiled as non-prefabricated items, prepared upon special request according to individualized criteria and the platform's technical specifications (each package, bag, or box forms a unique, sealed, and non-replicable composition of brands, sizes, and models). Therefore, pursuant to Article 38(1)(3) of the Polish Consumer Rights Act, the Buyer is not entitled to withdraw from the contract or return goods purchased at a distance.
Sealing and Hygienic Protection System
Every package dispatched via distance shipping is delivered in a securely sealed and tamper-evident bulk packaging (a bag or box marked with intact Premium Stock Wholesale branded tape or security seals). Due to health protection and strict hygiene standards regarding bulk merchandise originating from mass returns, the right to any potential return expires irrevocably the moment the bulk packaging is opened, unsealed, or compromised in any manner by the Buyer (Article 38(1)(5) of the Polish Consumer Rights Act). Unsealed goods are treated as used items, losing their original wholesale value.

A consumer who waives the recommended on-site inspection at the warehouse and opts for distance delivery by adding a product to the cart explicitly declares that by placing an order, they provide conscious and unconditional consent to the specifications of the selected product grade (including the presence of micro-faults in category A and the full risk of damage in categories B and C). This consent signifies acceptance of the fact that the goods are purchased in an "as is" condition at the Buyer's sole risk, with no possibility of later invoking non-conformity of goods with the contract or consumer protection laws.

To ensure one hundred percent transparency and eliminate commercial risk, both wholesale clients (B2B) and private individuals in the Start-Up Premium program (B2C) are granted the full opportunity and receive the official recommendation to personally visit the brick-and-mortar warehouse of Premium Stock Wholesale prior to making a payment, in order to inspect, verify, and examine the nature of the purchased merchandise.

Purchase at the Sole Risk of the Buyer
Concluding a purchase at a distance (via online shipping) without prior on-site inspection, or waiving the right to thoroughly examine the goods at the warehouse before payment, is done at the sole, absolute, and unrestricted risk of the Buyer.

No Post-Purchase Claims
Any claims, complaints, requests for price reductions, or grievances regarding brands, lot composition, sizing, damages, smudges, or the overall technical and visual condition of the goods after finalizing the transaction, making the payment, or leaving the warehouse premises will not be considered or accepted under any circumstances. All on-site transactions are final.

5. Trade Notices, Restrictions, and Intellectual Property
Territorial Restrictions
Certain brands included in the assortment may be subject to distribution restrictions and territorial sales limitations regarding their resale in specific geographic markets outside of Poland. The Buyer is strictly bound to comply with these guidelines and must provide upon the Seller's request detailed data including full company name, country of registration, contact person, and the target country of product distribution and resale.

Vetting of Contractors
Premium Stock Wholesale reserves the right to refuse the sale of specific branded lots to entities that fail to pass internal commercial verification or refuse to disclose information regarding the target country of distribution.

Intellectual Property
All brand names, logos, and trademarks appearing in offers, on the website, or in lots are registered property and remain the legal and exclusive ownership of their respective manufacturers. They are utilized by Premium Stock Wholesale solely for informational, descriptive, and identification purposes.

Working hours from Monday to Friday: 08:30 – 16:30
Saturday shopping: To meet the needs of our customers, on Saturdays we open one dedicated warehouse from 10:00 to 14:00.
On-site visits on working days: We welcome you for on-site shopping exclusively by prior appointment and confirmation of the visit with your dedicated manager.
On-site visits on Saturdays: If you wish to visit us on a Saturday, please arrange a visit with your manager at least one day in advance, no later than Friday. Without prior telephone confirmation, service and issuance of goods at the warehouse on Saturday will be impossible.
